Recitals

The company will be obtaining certain referral services from you that will be described in this Referral Agreement. The company must agree to engage with you as an independent contractor to perform certain services and you must agree to provide said services to the other party.

In consideration of the mutual terms and agreements that are contained in this Referral Agreement along with the acknowledged receipt and sufficiency, both you and the company must agree to the following conditions stated below:

Services

The company has the right to appoint you to act as its sole and exclusive referring party to provide the services stated above. Furthermore, you must conduct the said services in accordance with specifications set by the company. Along with this, you must also observe and comply with all of the federal and state laws or regulations applicable to this Referral Agreement at all times.

Standard of Performance

You must agree to perform all of your referral services by following the highest professional standards that will be provided in this Referral Agreement.

Term

Enter the term period for this Referral Agreement that has been agreed upon by both parties.

Date of Expiration

Days of Extension

Enter the number of days you and the company are allowed to extend this Referral Agreement. Then, enter the year period.

Prior Notice

Independent Contractor

You must provide your referral services as an independent contractor. Moreover, you must also not act as an employee, agent, or broker of the company. As an independent contractor, you will be solely responsible for paying all of the necessary taxes levied by the applicable laws on its compensation. You must understand that the company has the right to not withhold any amounts for payment of all taxes from your compensation.

Payment

The company is required to pay you for your referral services under this Referral Agreement with the sum agreed upon by both parties. The payment must be made according to the deadline and the receipt of your invoice for the services must follow.

Expenses

The company must agree to reimburse any pre-approved, out-of-pocket expenses you have incurred in connection with the services. These out of pocket expenses may include, but are not limited to the following:

  • Travel expenses
  • Audit fees
  • Tax fees
  • Payroll service fees


Confidentiality

You have the right to gain access to certain confidential or proprietary information of the company when you are performing referral services. This confidential information may include important details about the business, affairs, products, marketing, systems, technology, customers, end-users, financial affairs, accounting, statistical data belonging to the company, important data, documents, or discussions. This may also include any other proprietary and trade secret information from the company, may it be oral, graphic, written, electronic, or machine-readable in form.

Furthermore, you must agree to hold all of the confidential information of the company in strict confidence and must do the following conditions:

  • You must not disclose confidential information to other third parties
  • You must not use the company’s confidential information for any purposes other than your performance of the referral services and your obligations

The obligations under this section of the Referral Agreement will survive the agreed termination or extermination.

Ownership

Any inventions, technologies, reports, memoranda, studies, writings, articles, plans, designs, specifications, exhibits, or other materials you have prepared during the performance of the referral services under this agreement will be subject to copyright protection. These materials will be specially commissioned by the company and these will be deemed “work for hire” according to the U.S. copyright law. Just in case some materials do not qualify under the applicable U.S. law, and to the extent they include material subject to copyright, patent, trade secret, or other proprietary rights protection, you must assign these exclusively to the company and its successors.

Return of Materials

You must agree that upon the termination of this Referral Agreement, you will return all of the drawings, blueprints, notes, memoranda, specifications, designs, and other materials to the company. You are not allowed to retain any of the abovementioned materials.

Termination

Both of the parties can terminate this agreement by providing a written notice within 30 days to the other party. In cases wherein one party violates his or her obligations, the other party can terminate the agreement earlier than its expiration date.

Assignment

You are not allowed to assign any of your rights under this agreement.

Notices

Any notices, bills, invoices, or reports required under this agreement will be deemed received on the day of delivery.
