What is a Patent License Agreement?

A Patent License Agreement, or also referred to as a Licensing Agreement, is used between an owner of a patent and a party who wants to license the patent. It sets forth the identities of the parties, specific information regarding the patent, and the territory in which the patented products may be sold. Moreover, the Patent License Agreement contains the terms and conditions both parties have agreed to.

Item 2. Licensor’s Rights and Obligations

Unless it was agreed upon by both parties, the licensee is not allowed to sublicense or subcontract, in whole or in part, the rights granted under this Patent License Agreement. You will continue to retain all of the rights of every kind and nature in this Patent License Agreement except those rights you have specifically granted to the licensee.

Item 3. Payments

Enter the price of the royalty the licensee is required to pay you for the rights you have granted him or her.

Item 4. Written Statement

The licensee is required to render quarterly written statements and submit them to you within 45 days after the end of each quarter during the licensing of this patent. This statement must be accompanied by the licensee’s payment of the royalty amount due.

You have the right to review the records of the licensee to verify the paid royalties as long as it is upon reasonable notice. Audits may be conducted at your expense during reasonable times. The audits that you will be conducting must not interfere with the licensee’s normal operations.

Item 5. Warranty and Indemnification

a. You must warrant and represent the following statements:

• It has the full right, power, and authority to enter into this Patent License Agreement and to grant the rights granted herein
• It has not previously licensed the patent to any third party
• That licensee’s use of the patent will not violate any rights of any kinds or nature whatsoever of any third party

b. If you have breached any of the representation or warranty you have made under this Patent License Agreement, then the licensee, its successors, assigns and licensees, respective officers, directors, agents, and employees must be indemnified and held harmless from and against all claims, damages, liabilities, costs, and expenses which may include reasonable attorney’s fees.

c. If the licensee has somehow made the patent infringe any intellectual property rights or other kinds of rights of any third party, then you, your successors, assigns and licensees, respective officers, directors, agents, and employees must be indemnified and held harmless from and against all claims, damages, liabilities, costs, and expenses which may include reasonable attorney’s fees.

Item 6. Term and Termination

Enter the number of years this Patent License Agreement will be deemed effective. The number of years will continue to apply to this agreement unless you or the licensee decide to terminate it earlier.

Item 7. General Provisions

a. Successors or Assigns - This Patent License Agreement will be binding and will take effect to the benefit of your and the licensee’s respective successors or assigns.

b. Integration - This Patent License Agreement will set forth all of the terms and conditions between you and the licensee with respect to the subject matter stated in this agreement. The terms and conditions entered into this Patent License Agreement should not be modified, altered, or amended in any way unless you or the licensee execute a written agreement.

Item 8. Governing Law: Forum

Enter the state where you and the licensee are currently residing in. The state entered in this section of the Patent License Agreement will be the basis for the laws that will govern the said agreement.

Item 9. Notice

Your address along with the address of the licensee that are set forth in this Patent License Agreement will be deemed as the only appropriate addresses for the mailing of notices, checks, statements, and other important documents regarding this agreement. All of the notices must be sent through a certified or registered mail. These notices will not be deemed received or effective unless you or the licensee have actually received them. The both of you may change your respective addresses by sending a written notice to one another.
